  1. First, the company's yearly revenue cannot exceed EUR 500,000.
  2. Second, the company will have to hire at least one employee and pay him a minimum gross salary of EUR 660 per month. About 47.5% of this salary must be paid to the government as payroll taxes. Alternatively, the shareholder/director of the company may hire himself based on a management agreement/employment agreement to meet this requirement.
  3. Finally, revenue related to consultancy and management activities should not exceed 20% of total revenue.

In the event that your company does not meet the criteria for the 1% revenue tax, please note that your company will be subject to a 16% corporate tax (profits tax). Additionally, please note that the tax on dividends will remain unchanged at 8%.

No, your presence in Romania is not required. We will form the company remotely in your absence. All you have to do is sign the prepared documents (via Docusign or wet ink) and send them to us via email.
